1. Area of validity

The following conditions apply exclusively for all current and future business relations with you. We do not accept and contradict your general terms in case they are opposed to, differ from or complement our terms and conditions.

2. Conclusion of the contract

a) The presentation of our goods on the internet shop does not constitute an offer in the legal sense, but is only an invitation to order.
b) By pressing the button “Submit order transaction” you bid for a binding offer to conclude a contract of purchase for the goods ordered by you (Content of the shopping cart).

c) The orders received is confirmed by us via e-mail. This confirmation does not constitute the acceptance of the customer’s purchase offer, but only confirms that we received your order.
d) The formation of contract of purchases is only accomplished by our acceptance of your offer. We are entitled to accept your offer within 5 working days by sending a shipment or order confirmation. In case we do not accept your offer, you will be informed within the same period via e-mail.

e) The wording of the contract (your order) is no longer available for you , unless you created an user account when ordering . We therefore recommend you to save or print the wording when completing the order.

3. Shipment

The availability of your items chosen and their respective delivery time will be displayed on the product page.

4. Retention of title

The goods ordered shall remain our property until complete payment of all claims.

5. Conditions of payment

We offer the following payment options: prepayment, cash payment, cash on delivery, PayPal, credit card, Sofort Banking

You choose by selecting one of the aforementioned payment options.

a) When chosing prepayment you will receive a confirmation e-mail with your order data. The order confirmation also includes our banking details. We ask you to transfer the invoice amount, stating your order number. Upon receipt of your invoice amount to our account, your order we will be processed immediately. When transferring money from a checking account outside Germany please make the transfer in such a way that any applicable bank charges will be incurred by you.

6. Price and shipping

The prices at the time of order apply. All prices include the applicable VAT. Delivery is carried out to the individually designated shipping costs that are calculated in addition to the price indicated for the goods. The amount of the shipping costs will be displayed in the cart to the customer before finalizing the order process. Shipping within Germany is free.

7. Power of revocation

Right of withdrawal

To exercise the right of withdrawal, you must inform us about your decision to withdraw from this contract by an unequivocal statement (e.g. a letter sent by post, fax or e-mail) within 14 days without giving reasons in writing – or send back the goods or hand them over to us. The period begins upon receipt of this instruction in writing, but not before the goods is received by the recipient and not before fulfilling our obligations to inform under the terms of § 312 c II BGB i.V.m. § 1 I, II and IV BGB InfoV and our obligations under the terms of § 312e I sentence 1 BGB i.V.m. § 3 BGB-InfoV. In case of an effective cancellation the performance received and emoluments taken are to be returned (including benefits such as interest rate). In case you can’t return the performance received in whole or in part, or return them in a deteriorated condition, you must pay us compensation for the value. Transportable items are to be returned at your risk. You have to bear the cost of returning the goods if the delivered goods correspond to the ordered. Obligations to refund payments must be fulfilled within 30 days. The deadline starts with your despatch of your cancellation request or the item in question; for us it starts with our receipt of the same.

End of revocation instruction

You receive our terms and conditions including the aforementioned revocation instruction enclosed to our shipment confirmation, which we will send via e-mail. We recommend to print our terms and conditions.

8. Warranty

a) If transport damages occur despite of our careful packaging, please let it immediately be recorded and confirmed by the deliverer. Further warranty claims remain unaffected.

b) Warranty claims expire two years after date of delivery.

c) Color and structure of ceramics vary which can lead to partially drastic differences in the pattern . This is no reason for rejection.d) Farbton- und Strukturschwankungen der Keramik können zu teilweise gravierenden Unterschieden beim Muster führen, dies ist kein Reklamationsgrund.

d) Even though the production process is characterized by the highest accuracy, glue residues may be present on the back of the heating panel. This does not affect the panel’s functionality.

e) Heating panels with frames may have flaking at the invisible edge area.

f) A humming sound is no reason for complaint.

9. Liability limitation

SPP is only liable for damages to life, body or health, when this is caused by the culpable breach of substantial contract obligations, as far as a violation against this endangers the contract or negligence by SPP or the negligence of one of its legal representatives or executing aides. Furthermore, SPP shall assume liability for the negligent breach of fundamental obligations whose breach endangers the fulfilment of the intent of contract or for the breach of obligations whose fulfilment enables the proper execution of the contract in the first place and upon whose adherence to you routinely rely. The cogent provisions of the Product Liability Act shall remain unaffected. The customer shall only have an offsetting right if his counter claims have been legally recognized or have been accepted by us.

10. Data privacy

Our order processing is conducted by means of automatic data processing. During this process we store and process data only that has been accumulated in our business relationship and which is necessary for the completion of contract. This information will be treated strictly confidential, used exclusively by us and not passed on to third parties. The customer herewith gives his explicit allowance for us to handle his data this way.

11. Final clause

The law of the Federal Republic of Germany applies, excluding the provisions of international private law and the CISG. Not affected are mandatory provisions of the country in which you have your habitual residence. For all claims arising from this contract the place of jurisdiction is: Amtsgericht Potsdam HRB 18408P
